Mergers and acquisitions are corporate strategies through which corporate entities are bought, sold, divided or combined.  An acquisition or takeover is the purchase of one business or company by another company or other business entity.  These purchases may be of 100%, or nearly 100%, of the assets or of the ownership equity of the acquired entity. A consolidation or merger occurs when two companies combine together to form a new enterprise altogether, and neither of the previous companies survives independently.

There are many different styles of mergers or acquisitions, and each one has a diverse number of strategies for achieving a successful transaction.  Certain acquisitions can be construed as “friendly”, wherein the principals and/or various corporate entities negotiate the terms of a deal with the intended outcome of realizing a mutually agreeable transaction. Conversely, there are hostile acquisitions (usually concerning public companies), wherein the takeover target is unwilling to be acquired, and the acquirer undertakes a strategy to acquire the entity from an unwilling seller.  While the latter gets much more media attention, the vast majority of mergers and acquisitions happen by way of “friendly” transactions.  A “friendly” transaction merely means that all of the parties must mutually agree on the terms of the transaction; however there may still be difficult issues that must be resolved before a transaction can be completed.

When it comes to resolving the minefield of issues and negotiating the agendas of the parties, in order to arrive at the desired outcome, an experienced mergers and acquisitions lawyer is essential.  Often the lawyer becomes involved at the letter of intent stage of the transaction, as it is at this stage that the structure, guiding principals and foundation for the transaction are determined, and it is often too late for the lawyer to manage the process when the parties have already settled on these business points.
