British Columbia Business Incorporations Made Easy.

Let our team of professionals setup your BC incorporation correctly and efficiently.

At Affinity we assist clients in incorporating companies with the BC Registrar of Companies, whether such incorporation is a new incorporation in BC or whether it is the extra-provincial registration of a foreign corporation in BC.

We can assist clients in incorporating a broad range of different companies, from a single share class company to a company with multiple classes of shares, if required for tax planning or fund raising purposes.  We also assist many clients with professional incorporations such as the incorporation of operating companies for dentists, medical doctors and real estate professionals, which also includes assisting our clients in obtaining the required consents and permits from the applicable governing bodies for these professionals.

In many instances we also communicate with our client’s tax advisors, when necessary, in order to determine the appropriate corporate structure for each client.

Our process of incorporation is designed to be simple and efficient. The timing of this process can take as little as a few hours, once we are in receipt of all of the required information and proper instructions from our client.

Before incorporating a company in BC, approval to the proposed name must first be obtained. During most times of the year, name approval from the BC Corporate Registry generally takes between three to seven business days.  If you prefer a faster turnaround, the Corporate Registry will conduct a priority examination on payment of a priority name review fee.  Approvals are valid for 56 days and can be renewed (at further cost) if they expire. BC allows submission of up to three alternate names for the company, first, second, and third choice. In BC a company name will require three elements: a distinctive element, a descriptive element and a legal ending; for example, Johnson Holdings Inc. Names with unique first elements are more likely to be approved than names with common or popular words.

In BC, there are three choices for the legal ending: Limited (Ltd.), Corporation (Corp.) or Incorporated (Inc.). The designations all have the same legal significance.

You will need to determine the appropriate share structure for your company and if you have more than one class of shares, the specific rights and restrictions attached to each class of shares.  We can assist you in identifying the right share structure for your situation and can draft the appropriate rights and restrictions attaching to such shares if you decide to have more than one class of shares.

You will need to determine where the corporate records for the company will be maintained, with such address being located in British Columbia.  In most instances our office acts as registered office for the companies we incorporate, for which we charge legal fees of $295 per year, plus applicable taxes, disbursements and government filing fees.

Our legal fees for incorporation of companies are generally a fixed fee, plus applicable taxes, disbursements and government filing fees, unless the circumstances and complexity determine that a different fee structure is warranted.

How long will it take to incorporate in BC?

The time for completing the incorporation of a BC company is most often determined by the time it takes for the client to provide us with the required information and the time it takes the Corporate Registry to complete the name reservation.  Once we have all of the information from the client and obtained name reservation, incorporation can generally be completed in one business day. After incorporation of a company, we will be able to provide you with a complete package of documents confirming the incorporation and evidencing all of the corporate appointments within a week of incorporation; this may include, if required, the documents that you will require to open a corporate bank account for the company.

If you wish to proceed with the incorporation of a BC company, please contact any of the lawyers at Affinity Law Group and we will be pleased to assist you.
